A distributor does not have an after-sales system merely because a manufacturer promises a warranty. A workable system must connect each customer promise to a responsible legal entity, a parts supply, trained people, traceable product data, response targets and a funded remedy.

That distinction matters before a distribution agreement or first commercial order is signed. If the local distributor cannot explain who approves a claim, where a critical part comes from, how long the customer waits and who pays each cost, the warranty is still a marketing statement rather than an operating plan.

This guide provides a practical audit for importers and local-market distributors evaluating a Chinese brand. It is a commercial and operational framework, not legal advice. Product-safety, warranty and consumer-protection duties vary by product and market, so local requirements must be reviewed separately.

The short answer: require evidence, then run a test case

Before committing to distribution, require five connected evidence packs:

  1. a market-specific warranty matrix;
  2. a model-level spare-parts plan;
  3. a documented service and escalation workflow;
  4. product traceability and corrective-action procedures; and
  5. a cost model showing who funds parts, labour, freight, replacements and write-offs.

Do not approve the system from documents alone. Run a desktop drill using a realistic serial number and fault: log the claim, diagnose it, identify the part, price the remedy, simulate approval and measure the promised turnaround. The gaps exposed by that exercise belong in the agreement and launch plan.

1. Map the after-sales operating model

Start with roles, not warranty duration. List every company that may touch a claim: the brand owner, legal manufacturer, exporter, local importer, distributor, retailer, service partner and parts warehouse. For each party, record its legal name, territory, responsibilities, decision authority and escalation contact.

The map should answer questions that are often left ambiguous:

  • Which entity gives the customer-facing warranty?
  • Can the local distributor approve repairs or replacements without waiting for the factory?
  • Who communicates with the regulator if a safety issue emerges?
  • Does coverage apply only to products imported through the authorised local channel?
  • Who remains responsible if the distribution relationship ends?
  • Who owns unused parts, diagnostic tools and customer records at termination?

Check that the entities in this operating map match the names in the proposed agreement, invoices, product labels and compliance documents. If they do not, resolve the mismatch before payment. 2. Convert the warranty into a decision matrix

A useful warranty matrix works at model or defensible product-family level. It should state the coverage period and the event that starts it, such as shipment, installation, dealer sale or customer activation. It should also distinguish complete units, major assemblies, consumable parts, accessories, software, batteries and replacement parts.

For every remedy, record:

  • what qualifies as a defect and what evidence is required;
  • diagnosis, approval and completion time targets;
  • whether the remedy is remote support, repair, replacement, refund or credit;
  • who pays for labour, local travel, inbound and outbound freight, duties and disposal;
  • dead-on-arrival and repeat-failure rules;
  • exclusions, maintenance conditions and transferability; and
  • what happens when parts are unavailable or repair attempts fail.

The U.S. Federal Trade Commission’s business guide to federal warranty law is market-specific, but its disclosure logic is broadly useful: coverage, duration, the warrantor’s remedy, service access and limitations must be clear. It should not be treated as a substitute for the rules in another market.

Compare the finished matrix with the commercial promises in presentations, retailer listings and packaging. A long warranty can be more expensive than expected if the agreement covers free parts but leaves the distributor paying international freight, diagnosis, labour and customer replacement.

3. Build the spare-parts plan from failure and lead-time data

A generic statement such as ??arts are available??is not evidence. Request a model-level service bill of materials with part numbers, compatibility, criticality, unit price, minimum order quantity, replenishment lead time, shelf life and planned availability after the product is discontinued.

Ask for historical claim and failure data for the closest comparable models. Separate early-life failures, wear items, accidental damage, software issues and safety-critical faults. If the exact model is new, document the assumptions used instead of presenting an unsupported forecast as history.

A simple opening-stock calculation is:

expected installed base ? expected failure rate during replenishment lead time ? parts used per repair + safety stock.

Run the calculation by part rather than applying one percentage to the entire catalogue. Increase safety stock where a part can stop the product from operating, has a long replenishment time, serves multiple models or is required to complete a safety remedy. Reduce it where the part is inexpensive to obtain locally or rarely fails. The final quantities are a commercial judgement, but every input should be visible.

Also test the replenishment route. Ask the manufacturer to quote and simulate a small urgent parts shipment, including export documents, destination clearance and last-mile delivery. A warehouse photograph proves that a part existed once; it does not prove that the local service team can receive it within the promised time.

4. Verify the service workflow and technical capability

Write the claim flow from first contact to closure. A typical design includes intake, entitlement check, remote triage, diagnosis, approval, parts allocation, repair or replacement, customer communication, testing and closure. Each step needs an owner, system of record, target time and escalation threshold.

Then verify the resources behind the flow:

  • service manuals and fault codes for the exact models;
  • diagnostic software, tools, licences and calibration requirements;
  • technician training, assessment and refresher plans;
  • safe repair, isolation and disposal procedures;
  • access to firmware, configuration files and security updates;
  • approved repair centres and geographic coverage; and
  • customer communication templates in the local language.

Measure capability with practical tasks. Can a technician identify a fault from the manual? Can the distributor access the current firmware? Can the team order the correct revision of a board without sending informal photographs through a chat app? Training slides alone do not demonstrate service readiness.

ISO 10002:2018 describes complaints handling as a managed process involving planning, operation, analysis, auditing and improvement. The ISO standard summary is a useful benchmark for the process design, although certification to that standard is not a default requirement for every distributor.

5. Make every claim traceable to the product and batch

The service system should connect the customer, model, serial or batch number, sale date, software or hardware revision, reported symptom, diagnosis, remedy, part used and closure result. Without that connection, repeated failures can look like isolated complaints and the distributor cannot identify the affected population quickly.

The GS1 Global Traceability Standard distinguishes class-, batch/lot- and instance-level identification. Choose the level that matches the product risk and the action the business may need to take. A catalogue number may support sales reporting, while a batch or serial identifier may be necessary to isolate a quality problem or execute a targeted corrective action.

Before launch, test whether the manufacturer and distributor can exchange this data in a consistent format. Confirm how privacy-sensitive customer information will be protected and which information each party may retain after the relationship ends.

6. Prepare for safety incidents and recalls

Warranty service and product safety are related but not interchangeable. A repair decision for one customer does not replace the assessment, notification or corrective action that may be required when a product presents a wider risk.

Define who can stop sales, quarantine stock, obtain engineering evidence, identify affected units, contact customers and communicate with authorities. Maintain an emergency contact path that does not depend on one salesperson. Run a recall simulation before the installed base becomes large.

Official guidance illustrates why this must be market-specific. The European Union states that businesses in the distribution chain may need to act when a product is unsafe and that manufacturers, importers or distributors can have reporting and corrective-action responsibilities; see the EU’s product-safety guidance for businesses. 7. Put the full cost into the distributor economics

After-sales costs should appear in the distribution model before margin is negotiated. Estimate at least:

  • opening and replenishment parts inventory;
  • warehouse space, obsolescence and write-offs;
  • technician recruitment, training, tools and software;
  • diagnosis, labour, travel and customer support;
  • replacement units and advance-exchange stock;
  • parts and unit freight, duties and brokerage;
  • returns, recycling and disposal; and
  • recall contingency and suitable insurance.

Model a normal case and a stress case. The stress case should combine a higher failure rate, a delayed parts shipment and a product revision that makes some stock obsolete. Decide which costs are reimbursed, credited against future orders or absorbed locally. Put the agreed mechanics into the distribution commercial terms checklist, not in an informal promise.

8. Use a scored launch gate

Score each area from 0 to 2: zero means missing, one means documented but untested, and two means evidenced and tested. Cover roles, warranty terms, parts data, initial stock, replenishment, service skills, systems, traceability, corrective action and funding.

Do not average away a critical zero. Missing legal responsibility, no route to safety escalation, no access to a safety-critical part or no funding for the promised remedy should remain a stop condition even if presentation materials are strong.

A sensible approval record states one of four outcomes:

  • approve: the system is evidenced, tested and funded;
  • approve with conditions: named gaps have owners and deadlines before launch;
  • pilot only: exposure is capped while the operating model is tested; or
  • stop: a critical responsibility, capability or cost remains unresolved.

Red flags that should pause the deal

  • The warranty names no legal warrantor in the destination market.
  • The manufacturer will not provide model-level parts numbers or prices.
  • Coverage excludes labour and freight, but the margin model assumes they are reimbursed.
  • Every claim requires one factory contact to approve it manually.
  • There is no installed-base, batch or serial traceability.
  • Service manuals or firmware are available only after a failure occurs.
  • The distributor cannot identify who can stop sales or lead a recall.
  • Parts support has no end date or product-discontinuation plan.
  • The brand promises a long warranty but provides no comparable failure data or reserve model.

Final decision record

Keep one signed record for each launch market and product family. It should identify the responsible entities, approved warranty version, service workflow, parts list and opening stock, response targets, traceability method, corrective-action owners, cost allocation, unresolved conditions and the person who authorised launch.

Reopen the audit when the product, factory, importer, service partner, warranty promise, critical component, firmware, market rule or distribution relationship changes. After-sales readiness is not a document collected once; it is an operating capability that must remain true for the installed base.
